On August 3, 2021, Vargas filed an <a href="https://investornews.io/hadari-oshri-loses-anti-slapp/" target="_blank" rel="noopener">anti-SLAPP motion to strike Oshri’s CHRO petition</a>. In a hearing held on September 13, 2021, Los Angeles Superior Court Judge Doreen Boxer <a href="https://investornews.io/wp-content/uploads/2022/02/Minute-Order-1806108171.pdf">granted Vargas’s anti-SLAPP motion</a> and <a href="https://investornews.io/wp-content/uploads/2022/02/Minute-Order-1806107598.pdf">denied Oshri’s civil harassment petition</a> for failure to sustain the applicable burden of proof. Oshri will now have to pay Vargas’s attorney’s fees for filing a frivolous case. The Israeli entrepreneur also declined to go on a recorded interview or provide statements via email. This outlet has striven to reach out to sources to ensure they have the opportunity to provide their own account of events.</em></p>

<h6>The judges stated that Vargas&#8217;s work is a &#8220;compelling story of intrigue and vitriol that goes down a trail through international and domestic law, individual broken dreams, and the hard-fought desire to bring a criminal to justice.&#8221;</h6>
<h6>Speaking after the gala, <a href="https://aitanavargas.com" target="_blank" rel="noopener">Vargas</a> said that &#8220;this award is a reminder that the victims&#8217; years-long plights and repeated calls for justice have yet to be properly addressed by the justice system.&#8221; &#8220;This is not over yet.&#8221;<strong><br />
</strong></h6>
<h3 style="text-align: center;"><strong>Vargas&#8217;s tenacity defeated Oshri&#8217;s desire to silence the truth</strong></h3>
<h6>Throughout 2021, Oshri led a months-long campaign aimed at removing any and all media coverage online. The entrepreneur first tried to silence one of the reporter&#8217;s sources. Then, in a desperate attempt to stop Vargas&#8217;s investigative efforts, the release of <a href="https://investornews.io/wp-content/uploads/2022/02/POs-fly-private-x-ppe-fraud-hadari-oshri-combined.jpeg" target="_blank" rel="noopener">documents</a> linking Oshri and Lubaszka to an alleged multi-million dollar PPE scheme, as well as the publication of any and all content, Oshri filed a <a href="https://www.mtsu.edu/first-amendment/article/1019/slapp-suits" target="_blank" rel="noopener">SLAPP suit</a> against the journalist.</h6>
<h6>Oshri&#8217;s legal efforts against the correspondent came to an abrupt end in September 2021 as a Los Angeles Superior Court judge granted the reporter&#8217;s anti-SLAPP motion. During the hearing, the judge called out the entrepreneur for repeatedly interrupting the court proceedings and criticized her attorneys&#8217; failure to provide admissible evidence.</h6>
<h6>Oshri&#8217;s fruitless legal campaign will be costly, for she will have to pay the journalist&#8217;s hefty anti-SLAPP legal fees: $23,000.</h6>

Tamborelli sent the journalist a cease-and-desist email and included the above provision in a settlement agreement that she was not a party to in an attempt to make her abide by his demands. <h3 style="text-align: center;"><strong>Hadari Oshri and Marc Lubaszka forged a partnership based on business and personal misrepresentations<br />
</strong></h3>
<h6>The award-winning story exposes Oshri&#8217;s alleged participation in a joint PPE scheme with American broker Marc Lubaszka, who owes nearly $2M to tens of gold IRA investors across the US and has publicly admitted to <a href="https://investornews.io/marc-lubaszka-illegal-gold-mines-and-back/" target="_blank" rel="noopener">doing business with Venezuela&#8217;s illegal</a> gold mining syndicates.</h6>
<h6>The pair used Lubaszka&#8217;s private jet company, <a href="https://investornews.io/marc-lubaszka-hadari-oshri-ppe-scheme-private-jets/" target="_blank" rel="noopener">Fly Private X, to sell both nonexistent private jets and PPE during the COVID-19 pandemic</a>, as they ran their operations from a luxurious beachfront property located in East Malibu where they threw parties featuring high-end DJs.</h6>
<h6><a href="https://investornews.io/wp-content/uploads/2022/02/PO-Fly-Private-X-e1645666601721.jpeg" target="_blank" rel="noopener">Exclusive documents</a> obtained by Vargas show that Oshri and Lubaszka&#8217;s PPE scheme was also linked to convicted COVID-19 fraudster <a href="https://www.justice.gov/usao-sdtx/pr/local-man-sentenced-317-million-n95-mask-scam" target="_blank" rel="noopener">Arael Doolittle</a>.</h6>
<h6>In the meantime, Oshri founded Trade Safe Pro, LLC, and Lubaszka recruited <a href="https://investornews.io/dylan-raw-partners-scam-lubaszka/" target="_blank" rel="noopener">rapper Dylan Raw to act as his patsy</a> and the VP of Fly Private X. Together, broker and singer founded <a href="https://buy-gold-brightly.myshopify.com/" target="_blank" rel="noopener">Buy Gold Brightly</a> to sell gold and IRA plans.</h6>
<h3 style="text-align: center;"><strong>Oshri&#8217;s empire: A legacy of business failures</strong></h3>
<h6>For years, Oshri has misrepresented her &#8220;successful&#8221; career as a businesswoman by running a strategic online PR campaign that includes the publication of articles written by her ghost writer, Ryan Foland. To this date, she continues to misrepresent her business operations by <a href="https://investornews.io/hadari-oshri-expert-ppe-during-pandemic/" target="_blank" rel="noopener">publishing content </a>on her website and her Medium account.</h6>
<h6>As if her legacy of demonstrated past business failures were not enough, Oshri has also lost every step of the way in 2021: She lost the anti-SLAPP court battle to Vargas; She&#8217;ll have to pay the reporter&#8217;s hefty legal fees; The investigative series Oshri tried to stop has been released; Her alleged participation in a multi-million dollar PPE scheme with Marc Lubaszka has been exposed; Two more installments on Oshri&#8217;s Xehar wreck (aka fashion fairy project) and Trade Safe Pro, LLC are in the works; And last night, Vargas&#8217;s compelling exposé received one of the night&#8217;s top LA Press Club journalism awards.</h6>

										<content:encoded><![CDATA[<p><strong>Washington D.C.</strong> — The Securities and Exchange Commission will hold a virtual event on April 28 along with the North American Securities Administrators Association (NASAA) and the AARP to examine the latest challenges and issues affecting the senior investor community.</p>

<p>The Older Investor Roundtable will include panel discussions geared toward older investors, consumer advocates, and financial professionals nationwide as topics will include common frauds perpetrated against older investors, risks associated with digital assets and blockchain technology, and older client servicing and related issues.</p>
<p>SEC Chair Gary Gensler and SEC Commissioners Hester Peirce and Caroline Crenshaw will each deliver remarks.</p>

										<content:encoded><![CDATA[<p><strong>Washington D.C.</strong> — The Securities and Exchange Commission today announced that it updated its list of unregistered entities that use misleading information to solicit primarily non-U.S. investors, adding 58 soliciting entities, 11 impersonators of genuine firms, and one bogus regulator.</p>

<p>The SEC’s list of soliciting entities that have been the subject of investor complaints, known as the <a href="https://www.sec.gov/investor/oiepauselist.htm">Public Alert: Unregistered Soliciting Entities (PAUSE) list</a>, enables investors to better inform themselves and avoid being a victim of fraud. The <a href="https://www.sec.gov/files/pause-list-2022-04.pdf">latest additions</a> are firms that SEC staff found were providing inaccurate information about their affiliation, location, or registration. Under U.S. securities laws, firms that solicit investors generally are required to register with the SEC and meet minimum financial standards and disclosure, reporting, and recordkeeping requirements.</p>
<p>&#8220;With publication of the PAUSE list, the Commission continues to take action to protect retail investors,&#8221; said Jose M. Rodriguez, Acting Chief of the SEC’s Office of Market Intelligence. &#8220;We are issuing an increasing number of alerts to provide valuable information and aid investors in making informed investment decisions.&#8221;</p>
<p>In addition to alerting investors to firms falsely claiming to be registered, the PAUSE list flags those impersonating registered securities firms and bogus &#8220;regulators&#8221; who falsely claim to be government agencies or affiliates. Inclusion on the PAUSE list does not mean the SEC has found violations of U.S. federal securities laws or made a judgment about the merits of any securities being offered.</p>
<p>The PAUSE list is periodically updated by the SEC’s Office of Market Intelligence, in coordination with the Office of Investor Education and Advocacy and the Office of International Affairs.</p>

										<content:encoded><![CDATA[<h1 class="entry-title mb-5">SEC’s Investment Rule Updates and Cannabis Fundraising</h1>
<h2>Recently the SEC <a href="https://www.sec.gov/news/press-release/2020-273">updated its rules</a> to simplify the patchwork of regulations to help companies in fundraising mode. This matters to cannabis companies of all types, especially those that want to utilize the available federal exemptions in their securities offerings.</h2>
<p>In the SEC’s own words, “These amendments will promote capital formation and expand investment opportunities while preserving or improving important investor protections.” To hemp and marijuana companies, these changes mean they will have access to a wider pool of prospective investors. These amendments become effective 60 days after publication in the federal register.</p>
<p>The SEC is really taking big strides this fall. I previously wrote about the SEC’s recent expansion of <a href="http://harrisbricken.com/cannalawblog/cannabis-fundraising-seven-key-takeaways-from-the-secs-new-accredited-investor-rules/">who and what can qualify as an accredited investor</a>. We can expect future refinements to the SEC’s rules to provide more opportunities for investors looking for opportunities and more guidance for companies looking for safe harbors from legal snags when dealing with investors.</p>
<p>The recently updated rules are designed to help startups and more experienced SMEs that have proof of concept in their business models and are in their first or fifth fundraising round. Below are some highlights.</p>
<p><strong>Increased Offering Limits for Regulation A (Reg A), Regulation Crowdfunding (Reg CF), and Rule 504 (Reg D) Offerings.</strong></p>
<p>Under Tier 2 of Regulation A, the maximum offering amount has been increased from $50MM to $75MM, and the maximum offering for secondary sales has been increased from $15MM to $22.5MM.</p>
<p>Under Regulation Crowdfunding, the offering limit has been increased from $1.07MM to $5MM, which will make this option more attractive to some companies where the crowdfunding model makes sense for their business plan. Accredited investors are no longer limited in the amount they can invest under a crowdfunding offering, and non-accredited investors can now use the higher of their annual income or net worth when calculating their investment limits. The financial statement review requirement has been temporarily extended for 18 months in offerings raising $250k or less within a 12-month period.</p>
<p>Offerings utilizing Rule 504 of Reg D can now raise up to $10MM from $5MM, which will increase the use of these already frequently utilized offerings.</p>
<p><strong>Clarified Rules Governing Investment Offering Communications.</strong></p>
<p>Everybody loves demo day, except for companies that have to either have their securities lawyer with them at the table or CEOs who have to continually wink and nod when they say they are not there to sell an investment opportunity in the business. The rule updates mean that issuers can generally talk openly about investment opportunities to “test-the-waters” without those communications being considered “general solicitation” or “general advertising” that make securities lawyers (and a few CEOs) sweat in their sleep.</p>
<p><strong>Clarified Issuer’s Ability to Move from One Exemption to Another: Avoiding Offering Integration.</strong></p>
<p>Boards and executive officers rarely think in terms of “what issuing exemption will we qualify for” when they are determining the criteria for their capital raise. Generally, they are looking at the company’s needs based on the CFO’s analysis, the availability of capital from interested investors and the CEO’s conversations with existing and prospective investors.</p>
<p>These rule amendments fit more with these reality scenarios – that sometimes a company’s offering may qualify for one or two different exemptions – and that the company may need to switch lanes during the offering process. This is often determined long after they have started communicating with prospective investors, soliciting offers, and probably after the company has made its first sale in the offering. Sometimes companies don’t even think about their offering parameters until well after they have received their first investor funds.</p>
<p>Based on a “facts and circumstances” review, the SEC will generally consider offerings as distinct from each other if they have a 30 calendar day window between them. This often matters when one offering utilizes “general solicitation” of prospective investors while the follow-on offering does not.</p>
<p>Offerings relating to employee benefit plans (Rule 701) or offerings by international companies (Reg S) or companies with a registered offering (as opposed to an exempt offering) will not be integrated with other offerings, subject to certain criteria.</p>
<p><strong>Utilization of Special Purpose Vehicles (SPVs).</strong></p>
<p>One reason why crowdfunding has not taken off in hemp and marijuana businesses is because no sane company executive team wants to deal with hundreds or thousands of investors in exchange for a $100 or even a $1,500 investment from each of the investors. They are just not worth the hassle. But the new rule amendments permit the use of certain SPVs for Reg CF and Reg A offerings. This is a boon to cannabis companies, and we may see more crowdfunding offerings by cannabis companies that are willing to deal with a single SPV investment entity as long as someone else deals with the SPV’s investors.</p>

<p>Aurora shares have lost 24% of their value in the past month, battered by negative sell-side reports, a controversial convertible bond exchange that was highly dilutive for shareholders and news that Director Jason Dyck had sold more than 1 million of his shares, equal to 57% of his holdings.</p>
<p>But for Bennett, the key issue is one of trust. Aurora has repeatedly failed to meet its own targets and has promised one course of action, before immediately choosing another, he said.</p>
<p>“Key examples are missing revenue guidance despite issuing it after quarter-end at Q4, still little visibility on near-term profitability despite promises since January and throughout 2019 this would happen by Q4, continued dilution (debenture conversion, ATM used) despite reassurances this would not be the case, announcement of ceasing facility constructions just weeks after a press release praising their progression, and most recently the embarrassment of having to freeze sales in Germany over an investigation into the company’s processing methods,” the analyst wrote.</p>
<p>“Against this backdrop, we believe it is easy to make the case that Battley is ‘jumping ship’ with potential further bad news on the way and it is also now one thing too many for our previous conviction.”</p>

<p>Companies were required to only allow investment form verified  Accredited Investors.  The<a href="https://www.sec.gov/fast-answers/answers-accredhtm.html"> SEC States</a> <em>An accredited investor is a person that the SEC deems is sophisticated enough to protect themselves in making investment decisions and therefore does not require certain additional protections under certain securities laws.  Currently, to be an accredited investor as an individual, you must (1) earn $200,000 (or $300,000 jointly with your spouse) in income over the last 2 years or (2) $1 million in net worth (excluding home value. There was a major downfall in this strategy, many eligible  Accredited Investors, especially in the US had not verified their status nor had they been given the right material to understand the investments criteria</em>.</p>
<p>Start Up Companies were busy building and marketing their pitch decks and dealing with all the relevant road shows and right things to say. The companies themselves failed to deliver on then best strategy of all to entice investors, and exit strategy.</p>
<p>Indiegogo, <a href="https://crowdfunder.com/">Crowdfunder</a> and <a href="https://startengine.com/">Start Engine</a> were co-conspirators in a race to entice companies to list on their platforms they did not divulge to the companies that the main strategy investors seek is exits to IPO, Mergers and  Buy Outs.</p>
<p>As with the ICO craze of 2016, many companies made money in marketing and investor relations and many investors did eventually invest only to be dismayed at the lack of forethought in these projects. Over 90% of the ICOs from 2016 are now gone with millions being lost across the board.</p>
<p>While, the <a href="https://www.wsj.com/articles/to-restore-u-s-competitiveness-pass-the-jobs-act-3-0-1531680369">JOBS Act gave investors a</a> new avenue and helped companies to deliver an alternative investing vehicle, the accredited investors, were this time left holding the bag.  As more companies were being listed the pool of investors got smaller and less tolerant of mistakes.</p>

<h3>WHAT DOES JOBS ACT 3.0 MEAN FOR COMPANIES?</h3>
<p>The JOBS Act 3.0 should be the game changer. This should finally open the doors to investment like never before allowing investors to be accredited by their experience rather than their wealth.</p>
<p>It is now on the companies themselves to deliver solid growth plans and solid ideas. They should have a good team on board who are more than just friends from school and college.  The companies need guidance by seasoned personnel, rather than giving titles out to anyone in the room based on their needs.</p>

<p>On Friday, <a href="https://www.chicagotribune.com/politics/ct-met-illinois-recreational-marijuana-legislation-20190531-story.html">Illinois lawmakers approved recreational marijuana legalization</a>. This delivers another huge  step in nationwide recreational legalization in one of the biggest markets in the US.</p>
<p><a href="https://www.mmjfund.com/best-strategy-invest-in-marijuana-2019/">Marijuana Investors will see another huge market</a> open in 2020, helping build momentum in the Cannabis Markets. Illinois will set another new bar for nationwide legalization of Marijuana.</p>
<p>The highly contention debate in Springfield which included one lawmaker cracking eggs into a frying pan to depict “brain on drugs” was a victory in favor of recreational legalization on Jan 1<sup>st</sup> 2020 by a 66-47 vote by the House of Representatives.</p>
<p>The Gov of Illinois J.B. Pritzker plans to sign the bill into law. Illinois will become the 11<sup>th</sup> stated to legalize cannabis and the first state which a legislature approved commercial sales. Vermont has previously legalized possession, but, as of yet not commercial sales.</p>

<p>A <a href="http://ilga.gov/legislation/101/HB/10100HB1438sam002.htm">detailed 610 page bill,</a> delivers how marijuana and cannabis is meant to be taxed and regulated similar to current alcohol, with rules on affecting its use.</p>
<h2>Here are some answers from the Legislature in Illinois on Cannabis and Marijuana legalization:</h2>
<h3>WHO CAN GROW MARIJUANA?</h3>
<p>Only 20 existing licensed Medical Marijuana cultivation facilities will be licensed to grow Marijuana initially.  Next year, craft grower may apply for licensed cultivation up to 5,000sq ft, with a preference to applicants in minority areas disproportionally affected by the drug war. This will be focused on the South and West Side of Chicago. Medical Cannabis patients will be allowed to grow up to five plants each at home.</p>
<h3>WHO CAN BUY MARIJUANA IN ILLINOIS?</h3>
<p>Illinois residents age 21 and over may possess up to 30 grams  or about 1 ounce of flower (roughly as much as an adult can hold in cupped hands), 5 grams of cannabis concentrate or 500 milligrams  of THC – the chemical that gets users high – in cannabis infused products such as gummies, and other candies, tinctures and lotions. Adult visitors to the state may possess 15 grams of marijuana.</p>

<h3>WHO CAN BAN IT?</h3>
<p>Municipalities and counties may ban cannabis and marijuana businesses within their boundaries, but may not ban individual possession. Any person, business or landlord may prohibit use on private property. Colleges and universities may continue to ban marijuana use.</p>
<h3>WHERE IS CONSUMPTION PROHIBITED?</h3>
<p>Marijuana use in Illinois will be prohibited in any public place like street or park, on school grounds (except for medical use) , in any motor vehicle, in any correctional facility, near someone under 21 years of age, while driving boat or flying plane. It is OK to use at home, as long as outsiders cant see it.</p>
<h3>HOW DOES IT AFFECT CRIMINAL RECORDS?</h3>
<p>The governor will pardon past convictions for possession of up to 30 grams, with the attorney general going to court to expunge or delete public records of a conviction or arrest. For possession of 30 – 500 grams, an individual or state’s attorney may petition the court to vacate and expunge the conviction.</p>
<h4>HOW WILL MARIJUANA BE TAXED IN ILLINOIS?</h4>
<p>Sales will be taxed at 10 percent for <a href="https://www.mmjfund.com/california-tax-break-for-cannabis-firms/">THC levels at or less than 35 percent</a>; 20 percent for cannabis-infused products such as edibles; and 25 percent for THC concentrations of more than 35%. That’s in addition to standard state and local sales taxes. Municipalities may add special taxes of up to 3%, counties may add up to 3.75% in unincorporated areas, and Cook County may add up to 3% in municipalities.</p>
